1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Stratos Cyber Inc. ("Stratos Cyber", "we", "us", or "our") concerning your access to and use of our website, services, and platforms, including the RISE™ Suite and Metatron™ platform (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using our Services, you represent and warrant that you meet these requirements. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Services

Stratos Cyber provides cybersecurity services, including but not limited to:

• RISE™ Suite (Resilience, Intelligence, Security, and Empowerment services)
• Metatron™ AI-powered threat detection and response platform
• Cyber resilience assessments and consulting
• Threat intelligence and security monitoring
• Incident response and digital forensics
• Security awareness training and advisory services

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

4. User Accounts

4.1 Account Creation

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information and to update this information as necessary.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use or security breach.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, without prior notice or liability.

5. Acceptable Use Policy

6. Intellectual Property Rights

6.1 Our Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and trademarks (including RISE™ and Metatron™), are owned by Stratos Cyber and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain ownership of any data, information, or content you provide to us. By using our Services, you grant us a limited license to use, store, and process your content solely to provide and improve our Services.

7. Payment Terms

If you purchase Services from us:

• You agree to pay all fees specified in your service agreement
• Payments are due according to the payment schedule in your agreement
• All fees are non-refundable unless otherwise stated in writing
• We reserve the right to modify pricing with advance notice
• Failure to pay may result in suspension or termination of Services
• You are responsible for all taxes associated with your purchase

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of Services. This obligation survives termination of these Terms. Specific confidentiality terms may be outlined in separate agreements.

9. Warranties and Disclaimers

9.1 Service Warranty

We will provide Services with reasonable skill and care in accordance with industry standards. However, we do not guarantee that our Services will be uninterrupted, error-free, or completely secure.

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for Services in the 12 months preceding the claim
• We are not liable for losses resulting from events beyond our reasonable control
• These limitations apply regardless of the legal theory of liability

Some jurisdictions do not allow certain liability exclusions, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Stratos Cyber and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

12. Term and Termination

These Terms remain in effect until terminated by either party. We may terminate or suspend your access immediately for any reason, including breach of these Terms. Upon termination, all provisions that should survive (including confidentiality, indemnification, and limitation of liability) will continue to apply.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules, or to the courts located in Canada.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after changes constitutes acceptance of the modified Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any additional agreements, constitute the entire agreement between you and Stratos Cyber regarding the Services.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
